Position Summary:

The Legal/Compliance Counsel will work within the legal team in China to provide daily legal support to the growing business in China. Focus of this role will include supporting of direct sale and marketing activities, advising on industry related Chinese laws as well as compliance issues, and negotiating and drafting of contracts. Compliance will also be an important element to the role to ensure that we comply with local laws and US and UK anti-bribery regulations, in addition to our Corporate rules. The role will require contract drafting and negotiating skills and the ability to advise on Chinese law and to find practical solution. In addition, it will require the ability to work as part of a team on multi-functional projects. Excellent language skills including Chinese and English are vital. The role will be based in our Shanghai office and will report into the Legal Director, China.

 

Essential Duties and Responsibilities:

  • Providing general legal support for matters that may arise from our growing direct business and related marketing and promotional activities to ensure compliance with regulatory requirements and to identify and mitigate risks.
  • Monitoring regulatory development to stay abreast of legal updates and enforcements that relate to or may have an impact on the business and providing guidance accordingly.
  • Acting as legal business partner for departments including direct sale and strategies, marketing, H.R. and Admin., and operations.
  • Drafting, reviewing, and approving commercial agreements arising out of the supporting business functions, and coordinating on internal approvals pursuant to corporate policies.
  • Managing legal inquiries and risks that may arise from marketing, direct sales, competition, and consumer matters, including drafting/amending consumer terms and conditions and advertising/promotional terms and conditions, and working with global teams when necessary.
  • Working closely with global Compliance and Ethics team to ensure a robust process is in place for key compliance matters in China.
  • Reviewing all kinds of requests and projects from a compliance perspective to ensure they are duly approved and in compliance with applicable laws and corporate policies.
  • Identify and drive opportunities to increase operational efficiencies, e.g. templates, protocols, filing, etc.
  • Managing vendors, including vendor selection, vendor set-up and payment related issues.
  • Development and conducting legal and compliance training to business.

Job Requirements

Qualifications, Knowledge, and Skills:

  • Law degree from a recognized top law school and admitted to Chinese bar
  • 5 - 7 years post qualification experiences, preferably with law firm experiences
  • Ability to identify key issues and consistently apply a high standard of integrity, professionalism, legal knowledge, expertise, and business ethics
  • Excellent drafting and negotiation skills
  • Native fluency in Mandarin; strong proficiency in both spoken and written English
  • Excellent interpersonal skills (with emphasis on communication)
  • Culturally aware, highly motivated and a team player
  • Engaged with the business, willing to learn and keep abreast of internal and external developments
  • Good at identifying the problems and finding the solutions
  • Ability to provide feedback and advice in a clear and comprehensible manner
  • Flexible approach i.e. ability to adapt to different working styles and cultures
  • Ability to multitask on a range of different subjects simultaneously
